1. Acceptance of Terms
By accessing or using Intellect Integrated Services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Services Description
Intellect Integrated Services provides IT solutions including but not limited to:
- Cloud infrastructure management and migration
- Cybersecurity services and consulting
- Managed IT support and maintenance
- Network infrastructure solutions
3. Service Level Agreement
Service levels, response times, uptime commitments, and specific deliverables are defined exclusively in individual Managed Service Agreements (MSAs) or Statements of Work (SOWs) executed between Intellect Integrated Services and each client. No general uptime guarantee is implied by these Terms of Service.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Maintain the confidentiality of account credentials
- Comply with all applicable laws and regulations
- Not use services for illegal or unauthorized purposes
- Make timely payments for services rendered
5. Payment Terms
Payment terms are specified in individual service agreements. Late payments may incur additional fees and could result in service suspension. All fees are non-refundable unless otherwise stated in writing.
6. Intellectual Property & Proprietary Methodology Protection
All content, trademarks, service marks, trade names, logos, and intellectual property displayed on this website and delivered through IIS services are the exclusive property of Intellect Integrated Services and are protected under applicable US and international intellectual property laws.
6.1 Trademarks
The following are trademarks and service marks of Intellect Integrated Services:
- Smart IT Snapshot™ — a proprietary IT risk assessment product and methodology
- Intellect Integrated Services™ — the company trade name and brand
- IIS™ — the company's abbreviated trade name
Unauthorized use, reproduction, imitation, or appropriation of any IIS trademark, service mark, or trade name, in whole or in part, is strictly prohibited without prior written authorization from Intellect Integrated Services.
6.2 Proprietary Methodology
The Smart IT Snapshot™ assessment process, scoring methodology, financial exposure modeling, Zero Trust maturity framework, risk domain weighting system, CIS Controls mapping approach, and 30/60/90-day remediation roadmap structure are proprietary trade secrets and confidential methodologies of Intellect Integrated Services.
Any attempt to:
- Replicate, reverse-engineer, or imitate the Smart IT Snapshot™ methodology
- Use IIS's assessment structure, scoring logic, or report format as the basis for a competing product
- Reproduce or distribute IIS's proprietary content, report templates, or assessment frameworks
...without the express written consent of Intellect Integrated Services constitutes misappropriation of trade secrets and infringement of intellectual property rights, and may subject the offending party to civil and criminal liability under the Defend Trade Secrets Act (DTSA), the Lanham Act, and applicable state laws.
6.3 Website Content
All text, graphics, images, layouts, user interface designs, and written content on intellectintegratedservices.com are protected by copyright. Reproduction, distribution, modification, or republication of any website content without written permission is prohibited.
6.4 Client Deliverables
Reports, assessments, and documents delivered to clients under the Smart IT Snapshot™ or any IIS engagement are licensed to the client for internal business use only. Clients may not:
- Share reports with competitors of IIS
- Use IIS report formats or structures to build competing assessment products
- Distribute IIS deliverables publicly without written authorization
Custom software, scripts, automation, or tools developed specifically for a client are governed by the applicable Statement of Work (SOW).
6.5 Enforcement
Intellect Integrated Services actively monitors for unauthorized use of its trademarks, methodologies, and content. Violations will be pursued through all available legal remedies including injunctive relief, damages, and attorney's fees.
7. Limitation of Liability
Intellect Integrated Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services. Our total liability shall not exceed the amount paid for services in the preceding 12 months.
8. Termination
Either party may terminate services with 30 days written notice. We reserve the right to suspend or terminate services immediately for breach of these terms or non-payment.
9. Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.

11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.
12. Entire Agreement
These Terms of Service, together with any applicable Managed Service Agreement (MSA), Statement of Work (SOW), or Non-Disclosure Agreement (NDA) executed between the parties, constitute the entire agreement between the user and Intellect Integrated Services with respect to the subject matter herein.
